  1. ​Accepting these Terms​: This document and any other document that we reference make up our rules, or what we officially call our Terms and Conditions of Use (the “Terms” for short). The Terms are a legally binding contract between you and Adapt, Inc. in the U.S. This contract sets out your rights and responsibilities when you use the services provided by Adapt (we’ll refer to our websites, mobile apps and other services as our “Services”), so please read it carefully. By using any of our Services (even just browsing our website), you’re agreeing to the Terms. If you don’t agree with the Terms, sorry, you may not use our Services.
  2. Policies and Services: Adapt Services allows people to purchase goods directly from businesses via our proprietary mobile AdaptSites in the Adapt app. All of the policies listed below are a part of our Terms, so be sure to read the ones that are relevant for you.
  3. Your Privacy: We know your personal information is important to you, so it’s important to us. Our Privacy Policy details how your information is used when you use our Services, and it’s also a part of our Terms, so please read that separate document.
  4. Your Account with Adapt: ​You’ll need to create an account with Adapt to use some of our Services. Here are a few rules about accounts with Adapt:
    1. You must be 18 or older to use our Services. Otherwise, you may only use our Services under the supervision or with permission of a parent or legal guardian. Under no condition may you purchase any products in our App or AdaptSites if you are under the age of 13.
    2. Provide accurate information about yourself. It’s not OK to use false information or impersonate another person or company through your account.
    3. Choose a neutral, acceptable username. A username that is offensive, vulgar, or infringes someone’s intellectual property rights violates the Terms.
    4. You are responsible for your account. You’re solely responsible for any activity on your account. If you’re sharing an account with other people, then the person whose billing information is on the account will ultimately be responsible for all activity. Also, your account is not transferable.
    5. Protect your password. As we mentioned above, you’re solely responsible for any activity on your account, so it’s important to keep your account password secure.
    6. These Terms don't create any agency, partnership, joint venture, employment or franchisee relationship between you and Adapt.
  5. Your Use of Our Services: ​License to Use Our Services. We grant you a limited, non-exclusive, non-transferable and revocable license to use our Services—subject to the Terms and the following restrictions in particular:
    1. Don’t Use Our Services to Break the Law. You agree that you will not violate any laws in connection with your use of the Services. This includes any local, state, federal and international laws that may apply to you.
    2. Do Not Steal Our Intellectual Property. You agree not to “crawl,” “scrape,” or “spider” any page of the Services or to reverse engineer or attempt to obtain the source code of the Services.
    3. Do Not Try to Harm Our Systems. You agree not to interfere with or try to disrupt our Services, for example by distributing a virus or other harmful computer code.
    4. Follow Our Trademark Policy. The name “Adapt,” and the other Adapt marks, phrases, logos and designs that we use in connection with our Services, are trademarks, service marks or trade dress of Adapt in the U.S. and other countries.
    5. Share Your Ideas. We love your suggestions and ideas! They can help us improve your experience and our Services. Any unsolicited ideas or other materials you submit to Adapt (not including Your Content or items you sell through our Services) are considered non-confidential and non-proprietary to you. You grant us a non-exclusive, worldwide, royalty-free, irrevocable, sub-licensable, perpetual license to use and publish those ideas and materials for any purpose, without compensation to you.
    6. Talk to Us Online. Adapt will provide you with certain legal information in writing. By using our Services, you’re agreeing to how we provide that information to you. We prefer to provide your information electronically (by email, etc.) instead of mailing your paper copies (it’s better for the environment), and that your electronic agreement is the same as your signature on paper.
  6. Termination: ​Termination by You. We are sorry to see you go, but you may terminate your account with Adapt at any time from your account settings. Termination by Adapt. We may terminate or suspend your account (and any related accounts) and your access to the Services at any time, for any reason, and without advance notice. If we do so, it’s important to understand that you don’t have a contractual or legal right to continue to use our Services, for example, to sell or buy on our website or mobile apps. Adapt may refuse service to anyone, at any time, for any reason.
    If you or Adapt terminate your account, you may lose any information associated with your account, including Your Content.
    We May Discontinue the Services. Adapt reserves the right to change, suspend or discontinue any of the Services at any time, for any reason. We will not be liable to you for the effect that any changes to the Services may have on you, including your income or your ability to generate revenue through the Services.
    Survival. The Terms will remain in effect even after your access to the Service is terminated, or your use of the Service ends.
  7. Warranties and Limitation of Liability: Items You Purchase. You understand that Adapt does not manufacture, store or inspect any of the items sold through our Services. We provide the venue; the items in our AdaptSites are produced and sold directly by independent sellers, so Adapt cannot and does not make any warranties about their quality, safety or even their legality. Any legal claim related to an item you purchase must be brought directly against the seller of the item. You release Adapt from any claims related to items sold through our Services, including for defective items, misrepresentations by sellers or items that caused physical injury (like product liability claims). Adapt however will contact the seller within 15 days after notice from you to refund any monies for products not received or in a condition not advertised.
    Content You Access. You may come across materials that you find offensive or inappropriate while using our Services. We make no representations concerning any content posted by users through the Services. Adapt is not responsible for the accuracy, copyright compliance, legality or decency of content posted by users that you accessed through the Services. You release us from all liability relating to that content. Please use our in-app report system or contact us directly if you are concerned about a seller or AdaptSite that is not providing you with a professional service.
    People You Interact With. You can use the Services to interact with other individuals, either online or in person. However, you understand that Adapt has policies and rules in place for sellers and AdaptSites, but we do not screen individual users of our Services. You release us from all liability relating to your interactions with other users. Please be careful and exercise caution and good judgment in all interactions with others, especially if you are meeting a seller or AdaptSite owner at their place of business.

    Third-Party Services. Our Services may contain links to third-party websites or services that we don’t own or control (for example, links to Facebook, Twitter, and Pinterest). You may also need to use a third party’s product or service in order to use some of our Services (like a compatible mobile device to use our mobile apps). When you access these third-party services, you do so at your own risk. The third parties may require you to accept their own terms of use. Adapt is not a party to those agreements; they are solely between you and the third party.
    Warranties. Adapt is dedicated to making our Services the best they can be, but we’re not perfect and sometimes things can go wrong. You understand that our Services are provided “as is” and without any kind of warranty (express or implied). We are expressly disclaiming any warranties of title, non-infringement, merchantability and fitness for a particular purpose, as well as any warranties implied by a course of performance, course of dealing or usage of trade.
    We do not guarantee that: (I) the Services will be available at any particular time or location; (ii) any defects or errors will be corrected; (iii) the Services will be free of viruses or other harmful materials; or (iv) the results of using the Services will meet your expectations. You use the Services solely at your own risk. Some jurisdictions do not allow limitations on implied warranties, so the above limitations may not apply to you.
    Liability Limits. To the fullest extent permitted by law, neither Adapt, nor our employees or directors shall be liable to you for any products purchased, or for any consequential, incidental, indirect, special or punitive damages arising out of or in connection with the Services or these Terms. In no event shall Adapt’s aggregate liability for any damages exceed the greater of one hundred ($100) US Dollars or the amount you paid through the Adapt Service in the past twelve months. Some jurisdictions do not allow limitations on incidental or consequential damages, so the above limitations may not apply to you.
  8. Indemnification: ​We hope this never happens, but if Adapt gets sued because of something that you did, you agree to defend and indemnify us. That means you’ll defend Adapt (including any of our employees) and hold us harmless from any legal claim or demand (including reasonable attorney’s fees) that arises from your actions, your use (or misuse) of our Services, your breach of the Terms or your account’s infringement of someone else’s rights. We reserve the right to handle our legal defense however we see fit, even if you are indemnifying us, in which case you agree to cooperate with us so we can execute our strategy.
  9. Disputes with Other Users: ​If you find yourself in a dispute with another user of Adapt’s Services or a third party, we encourage you to contact the other party and try to resolve the dispute amicably. Adapt will attempt to help you resolve disputes in good faith and based solely on our interpretation of our policies, in our sole discretion; we will not make judgments regarding legal issues or claims. Adapt has no obligation to resolve any disputes. Release of Adapt. You release Adapt from any claims, demands and damages arising out of disputes with other users or parties.
  10. Disputes with Adapt: If you’re upset with us, let us know, and hopefully we can resolve your issue. But if we can’t, then these rules will govern any legal dispute involving our Services:
    1. Governing Law. The Terms are governed by the laws of the State of Nevada without regard to its conflict of laws rules, and the laws of the United States of America. These laws will apply no matter where in the world you live.
    2. Arbitration. You and Adapt agree that any dispute or claim arising from or relating to the Terms shall be finally settled by arbitration, using the English language, administered by the American Arbitration Association (the “AAA”) under its Commercial Arbitration Rules then in effect (those rules are deemed to be incorporated by reference into this section). Our arbitration will be handled by a sole arbitrator in accordance with those rules. Judgment on the arbitration award may be entered in any court that has jurisdiction. Any arbitration under the Terms will take place on an individual basis: class arbitrations and class actions are not permitted. ​You understand that by agreeing to the Terms, you and Adapt are each waiving the right to trial by jury or to participate in a class action. Notwithstanding the foregoing, each party shall have the right to bring an action in a court of proper jurisdiction for injunctive or other equitable or conservatory relief, pending a final decision by the arbitrator.
    3. Forum. We’re based in Las Vegas, Nevada, so any legal action against Adapt related to our Services must be filed and take place in Las Vegas, Nevada. That means the seat of any arbitration shall be Las Vegas. If you are a government agent or entity in the United States using the Services in your official capacity, and you are legally unable to agree to the clauses in this section, then those clauses do not apply to you. In that case, the Terms and any action related to the Terms will be governed by the laws of the United States (without reference to conflict of laws) and, in the absence of federal law and to the extent permitted under federal law, the laws of the State of Nevada.
  11. Changes to the Terms: ​We may update these Terms from time to time. If we believe that the changes are material, we’ll definitely let you know by doing one (or more) of the following: (1) posting the changes through the Services or (2) sending you an email or message about the changes. That way you can decide whether you want to continue using the Services. Changes will be effective upon the posting of the changes. You are responsible for reviewing and becoming familiar with any changes. Your use of the Services following the changes constitutes your acceptance of the updated Terms.
  12. Some Finer Legal Points: ​The Terms, including all of the policies that make up the Terms, supersede any other agreement between you and Adapt regarding the Services. If any part of the Terms is found to be unenforceable, that part will be limited to the minimum extent necessary so that the Terms will otherwise remain in full force and effect. Our failure to enforce any part of the Terms is not a waiver of our right to later enforce that or any other part of the Terms. We may assign any of our rights and obligations under the Terms.

Adapt Privacy Policy

This policy explains our privacy practices for adaptme.com, adapt.net (“Adapt websites”), Adapt apps and services provided by Adapt, Inc. Adapt, Inc. as the data controller and is solely responsible for data collection and processing.

This policy is a part of our Terms and Conditions. By visiting the Adapt websites or using the apps, you consent to our use of your personal information in the ways set out in this policy and in our Terms and Conditions. This policy only applies to the Adapt websites, apps and services. We are not responsible for the content or the privacy policies of any of our clients’ mobile apps or websites outside of Adapt.

Adapt’s ​Terms and Conditions require all account owners to be at least 18 years of age (or have the permission and supervision of a responsible parent or legal guardian), therefore, this policy does not discuss use of our websites, apps, or services by minors.

Users Personal Information

To use any Adapt product, you will need to provide us with a valid email address or mobile phone number. You will be able to choose a username. Depending on the services you choose, we may collect additional information, for example: information in private channels like billing or payment information, a telephone number, and a physical address. Please note that for security and performance reasons, such content may need to be accessed by certain Adapt personnel from time to time.

Your username is connected to your Adapt activity. You may connect to Adapt with an external application, in which case Adapt may receive information from that other service, as explained below.

We use technologies such as cookies, clear gifs, log files, and flash cookies for several purposes, including to help understand how you interact with our websites and services, in order to provide a better experience.

Sharing Information

We use the information that we gather from you in a number of ways. For example, if you purchase an item, we’ll share your information with the seller; we could use your suggestions to improve our services; we use data analytics and work with certain third-party data analytic providers for targeted online and offline Adapt only marketing; and of course, we use your email address, Adapt Chat or SMS to communicate with you. We do not partner with service providers and other third parties that collect, use, promote, and analyze information about Adapt users and visitors.

Adapt will not sell or disclose your personal information at any time except as specified by you.

Review or Change

You may review and change your information in your account settings, and you may remove certain optional pieces of information.

You may control the receipt of certain types of communications from Adapt in your account settings. You also may limit certain tracking by disabling cookies in your web browser.

We rely on various authorized methods, including your consent, to enable us to transfer your personal data to the US (if you do not live in the US) and to other countries. In some countries, the privacy laws and standards, including the rights of certain authorities to access your personal information, may differ from those that apply in your home country.

Additional Information Collected

As an Adapt user of its websites, apps and services you may be required to provide a valid email address or phone number at registration. You are able to choose a username or alias that represents your identity to Adapt.

Depending on which services you choose to use, Adapt may require additional information to provide the service, such as a name, billing and payment information (including billing address, telephone number, credit card information), a telephone number, and/or a physical postal address.

Adapt automatically receives and records information from your browser or your mobile device when you visit the websites or use Adapt apps, such as your IP address or unique device identifier, cookies and data about which pages you visit on the websites or on the apps and stores it in log files. We may combine this automatically collected information with other information we collect about you. This information helps us to prevent fraud, keep the websites and apps secure, analyze and understand how the websites and the apps work for our users and visitors, and provide a more personalized experience for users and visitors.

When you use the apps, you may choose to share your geo-location details with Adapt in order to use our location-based services. If you have provided your location details but would no longer like to share that information, you may opt out of those services through the settings in the apps or on your mobile device. We will only share your geo-location details with third parties (like our mapping providers) for the sole purpose of providing you with those services. You may also enable the apps to access your mobile device’s camera to upload media to Adapt.

Some users or visitors may connect to Adapt or register an Adapt account using an external third-party application, such as Facebook, or an app developed using the Adapt application-programming interface (API). Adapt may receive data from those connected third-party applications. Connecting your Adapt account to third-party applications or Services is optional, and when you connect your account to an external app, you will be granting Adapt permission to receive information from the third-party applications. You can also choose to share some of your activity on Adapt on certain social media networks, which are connected to your Adapt account. You can modify your settings and revoke your permission under ​your Adapt account settings.​

Adapt may receive or obtain information (for example: an email address or IP address) about a person who is not yet a registered Adapt user (a “non-user”) in connection with certain Adapt features, such as when a non-user subscribes to an Adapt notification, a user invites a non-user to visit websites, a user uploads non-user information using the contact uploaded feature, a non-user engages in a transaction. Non-user information is used only for the purposes disclosed when it was submitted to Adapt. A non-user can ​contact Adapt Customer Support​ if they do not want Adapt to retain their information.

Adapt also collects certain information from both users and non-users who visit the Adapt websites in the apps hosted by Adapt. This information may include your IP address or unique device identifier, and cookies and data from the pages you visit.

Your Choice

We know that users of our App value having control over their own information, and therefore Adapt gives you the choice of providing, editing or removing certain information, as well as choice over how we contact you.

You may change or correct your Adapt account information (except your username) on the website. You may also remove certain optional information on the website that you no longer wish to be publicly visible on the website, such as your full name.

For various reasons, Adapt may send you messages about our services or your activity. Some of these messages are required, service-related messages for users (such as transactional messages or legal notices). You can control which optional messages you choose to receive by changing your settings in your account. Learn more in the “Messages from Adapt” section of this policy. If you have chosen to connect your account to an external, third party application, such as Facebook, or an app developed using the Adapt API, you can change your settings and remove permission for the app by changing your account settings.

On occasion, Adapt will contact you. Primarily, these messages are delivered by email, in-app chat or by push notifications, and every account is required to keep a valid email address or phone number on file to receive messages. Adapt may contact you by telephone to provide user support or for transaction related purposes if you give us permission to call you. Additionally, Adapt may send you an SMS message or physical mail in order to provide you with customer support or to provide you with information about products and features you may find of interest. You may update your contact preferences in ​your account settings​.

Some messages from Adapt are service-related and required for users. Examples of service-related messages include an email address confirmation/welcome email when you register your account, notification of an order, and correspondence with Adapt’s support team. You may not opt out of receiving service-related messages from Adapt, unless you close your account. Adapt may also send you messages related to certain features or your activity on the Website or App. Adapt may send you news or updates about changes to our websites, apps, or services. From time to time, we may develop new types of messages and share them with you to inform you about our services. Primarily, users will receive these messages via email or push notifications through the apps, but you may choose to opt out of receiving different types of messages through the settings on ​your Adapt account​ or mobile device.

Information Uses, Sharing & Disclosure

We respect your privacy. Adapt will not disclose your name, email address or other personal information to third parties without your consent, except as specified in this policy. We generally use the information to provide and improve our services and products, for billing and payments, for identification and authentication, for targeted online and offline marketing, to contact users or interested parties, and for general research and aggregate reporting. Adapt limits access to your personal information by Adapt personnel to those whom we believe reasonably need that information to provide products or services to you or in order to do their jobs.

Regardless of what country you reside in or supply information from, you authorize Adapt to use your information in the United States or any other country where Adapt operates. Please be aware that the privacy laws and standards in certain jurisdictions may differ from those applying in the country in which you reside.

As part of the buying and store selling process, Adapt will facilitate the sharing of information between the two parties involved in the transaction, such as the other Adapt user's email address, shipping address, and product information. By making a sale or a purchase thru Adapt you are directing us to share your information in this way. We expect you to respect the privacy of the user whose information is received. As described in Adapt's ​Terms and Conditions​, you have a limited license to use that information only for Adapt-related communications or for Adapt-facilitated transactions. Adapt has not granted you a license to use the information for unsolicited commercial messages or unauthorized transactions. Without express consent from that person, you must not add any Adapt user to your email or physical mailing list or misuse any user’s personal information. Please comply with all relevant legal rules when you use Adapt. This includes applicable data protection and privacy laws, which govern the ways in which you can use another Adapt user’s information.

Adapt may release your personal information to a third party in the following circumstances: to protect, establish, or exercise our legal rights or defend against legal claims; to comply with a subpoena, court order, legal process, or other legal requirement; or when we believe in good faith that such disclosure is necessary to comply with the law, prevent imminent physical harm or financial loss, or investigate, prevent, or take action regarding illegal activities, suspected fraud, threats to our property, or violations of Adapt's policies.

We also may disclose personally identifiable information to parties in connection with an investigation of fraud, intellectual property infringement, piracy, or other unlawful activity in accordance with our company Privacy Policy. In such events, Adapt may disclose a name, address, country, phone number, email address and company name.

Adapt may share demographic information with business partners, but it will always be aggregated and anonymously provided, so personally identifiable information is not revealed.

Adapt may engage third party companies and individuals (such as payment processors, research companies, analytics and security providers) to help provide our services. These third parties have limited access to your information only to perform these tasks on our behalf and are obligated to Adapt not to disclose or use your information for other purposes.

In some cases, Adapt may choose to buy or sell assets. In these types of transactions (such as a sale, merger, liquidation, receivership or transfer of all or substantially all of Adapt’s assets), user information is typically one of the business assets that are transferred. If Adapt intends to transfer information about you, Adapt will notify you by email or by putting a prominent notice on the websites and the apps, and you will be afforded an opportunity to opt out before information about you becomes subject to a different privacy policy.

In addition, certain cookies and other tracking mechanisms on our websites are used by third parties for targeted online marketing and other purposes. These technologies allow a partner to recognize your computer or mobile device each time you visit Adapt, but do not allow access to personally identifiable information from Adapt. Adapt does not have access or control over these third-party technologies, and they are not covered by our Privacy Policy. If you prefer to prevent third parties from setting and accessing cookies on your computer, you may set your browser to block cookies. You may also opt out of the use of cookies by Google Analytics ​here​. Additionally, you may remove yourself from the interest-based advertising of companies participating in the Digital Advertising Alliance program by opting out. Although our Website currently does not respond to “do not track” browser headers, you can limit tracking by taking these steps.

We can only speak for ourselves; this policy does not apply to the practices of third parties that Adapt does not own or control, or individuals that Adapt does not employ or manage. If you provide your information to others, different practices may apply to the use or disclosure of the information you provide to them. Adapt does not control the privacy policies of third parties, including other Adapt users. Adapt is not responsible for the privacy or security practices of Adapt users or other websites on the internet, even those linked to or from the Adapt websites or apps. We encourage you to ask questions before you disclose your personal information to others.

Security

The security of your personal information is important to us. Your Adapt web account is protected by a password you create. It is important that you protect against unauthorized access to your account and information by choosing your password carefully, and keeping your password and computer secure, such as by signing out after using our services. Accounts within the Adapt app are protected by secure, one-time passwords sent by SMS.

Adapt encrypts sensitive information (such as credit card numbers) using secure socket layer technology (SSL). Adapt follows generally accepted industry standards to protect the personal information submitted to us, both during transmission and once Adapt receives it. Unfortunately, no method of transmission over the Internet, or method of electronic storage, is 100% secure. Therefore, while we strive to protect your personal information, we cannot guarantee its absolute security. Adapt offers optional advanced security settings for users, such as ​two-factor authentication for signing in, full-Website SSL, and login history; you can enable these options under ​your account settings​.

Data Retention

Adapt will retain your information only for as long as is necessary for the purposes set out in this policy, for as long as your account is active, or as needed to provide you Services. If you no longer want Adapt to use your information to provide you Services, you may close your account. Adapt will retain and use your information to the extent necessary to comply with our legal obligations, resolve disputes, and enforce our agreements. Please note that closing your account may not free up your email address, username, or shop name for reuse on a new account.

You may inform us of any changes or requests regarding your personal data, and in accordance with our obligations under applicable data protection law; we may update or delete your personal data accordingly. We'll respond to your request within a reasonable timeframe.

Your Rights

If you are an Adapt user, you can access, correct, change, and delete certain personal information associated with your account by visiting your Adapt account settings. If you need further assistance, you can contact Adapt through one of the channels listed below under “Contact Adapt.”
